Terms of Use

These Terms of Use (the "Terms") govern access to and use of Collabound, including the Collabound for Jira app, the Collabound Portal, our documentation, support services, and related websites or services (collectively, the "Services"). The Services are provided by Shinetech Software Inc. ("Collabound", "we", "us", or "our").

These Terms describe Collabound-specific service rules, operational policies, and user responsibilities. If you have a separate written agreement with Collabound that expressly governs the Services, that separate agreement controls to the extent of any conflict.

These Terms apply only to the Collabound Services. Terms and policies published on the Shinetech corporate website (www.shinetechsoftware.com) govern that website and Shinetech's other products or services, and do not apply to the Collabound Services.

Relationship with Marketplace Standard Agreement

If you obtain Collabound for Jira through the Atlassian Marketplace and the listing uses the Bonterms Standard End User Agreement, that standard agreement is the primary end user license agreement for the Marketplace order. These Terms supplement the standard agreement for Collabound-specific service operation, Portal access, documentation, support, acceptable use, privacy, security, and data handling practices.

These Terms do not replace or modify the Bonterms Standard End User Agreement unless the Marketplace listing, provider-specific terms, or a separate written agreement expressly says so. If there is a conflict between these Terms and an applicable Marketplace agreement, Marketplace provider-specific terms, or separate written agreement, the more specific agreement controls for the affected subject matter.

If you access the Collabound Portal, documentation, support services, or other Collabound services outside an Atlassian Marketplace order, these Terms apply unless a separate written agreement governs that use.

Acceptance of Terms

By accessing or using the Services outside an Atlassian Marketplace order, or by using Collabound services that are not otherwise governed by a separate written agreement, you agree to these Terms. If you use the Services on behalf of a company, organization, or other legal entity, you represent that you have authority to bind that entity to these Terms. In that case, "Customer", "you", and "your" refer to that entity and its authorized users.

If you do not agree to these Terms, do not install, access, or use the Services.

Relationship with Atlassian

Collabound for Jira is a third-party app for Atlassian products. Collabound is not an Atlassian product and is not provided, endorsed, or controlled by Atlassian. Jira, Atlassian Marketplace, Forge, and other Atlassian services are provided by Atlassian under Atlassian's own terms and policies.

Your use of Atlassian products and Atlassian Marketplace may be subject to separate agreements with Atlassian. These Terms govern only your use of Collabound's Services.

The Services

Collabound helps teams share selected Jira work items with external partners, manage partner access, control visible fields and permissions, and collaborate through the Collabound Portal and Jira app surfaces.

We may update, modify, improve, suspend, or discontinue features from time to time. We will use reasonable efforts to avoid material disruption and to communicate important changes where appropriate.

Accounts and Administrators

Customers and workspace administrators are responsible for managing their workspaces, site connections, users, roles, partner relationships, sharing templates, shared content access templates, and other configuration choices.

  • You are responsible for ensuring that only authorized users access your workspace.
  • You are responsible for maintaining the confidentiality of account credentials and for activity under your accounts.
  • You are responsible for configuring sharing and access controls appropriately for your business and legal requirements.
  • You must promptly notify us if you suspect unauthorized access, account compromise, or misuse of the Services.

Customer Data

"Customer Data" means data, content, and information submitted to, processed by, or made available through the Services by or on behalf of Customer, including Jira work item content, comments, attachments, workspace information, partner information, templates, audit logs, and user information.

Customer retains all right, title, and interest in Customer Data. You grant Collabound a limited right to host, process, transmit, display, and use Customer Data solely as necessary to provide, secure, support, maintain, and improve the Services; comply with law; prevent abuse; and enforce these Terms.

Customer is responsible for the accuracy, quality, legality, and permissions associated with Customer Data. Customer represents that it has all rights, consents, and permissions necessary to submit Customer Data to Collabound and to share Customer Data with partners or users through the Services.

Privacy and Security

Our collection, use, storage, and processing of personal information is described in the Collabound Privacy Policy. Our security controls and data protection practices are described in our Security Overview.

By using the Services, you acknowledge that Customer Data may be processed according to those documents and these Terms.

Acceptable Use

You must use the Services only for lawful business purposes and in accordance with these Terms. You must not:

  • Use the Services in violation of applicable law, regulation, or third-party rights.
  • Share Customer Data with partners or users unless you have the right and authority to do so.
  • Attempt to bypass, disable, or interfere with authentication, authorization, sharing controls, rate limits, or security features.
  • Upload, transmit, or distribute malware, harmful code, or content designed to disrupt systems.
  • Reverse engineer, decompile, disassemble, or attempt to derive source code from the Services, except to the extent this restriction is prohibited by applicable law.
  • Use the Services to build a competing product or to benchmark the Services for publication without our prior written consent.
  • Interfere with or disrupt the Services, infrastructure, networks, or other customers' use of the Services.
  • Misrepresent your identity, affiliation, or authorization to act on behalf of a workspace, customer, or partner.

Subscriptions, Fees, and Marketplace Purchases

If the Services are purchased through Atlassian Marketplace, subscription, billing, renewal, cancellation, taxes, payment, and refund terms are governed by the applicable Marketplace order, Atlassian Marketplace processes, and the applicable Marketplace agreement. If the Services are purchased directly from Collabound or through another approved channel, the applicable order form, invoice, or subscription terms will apply.

Unless otherwise stated in an applicable order, Marketplace process, or required by law, fees are non-refundable. Customer is responsible for taxes, charges, and payment obligations associated with its subscription.

If a subscription expires, is cancelled, is not renewed, or is not paid when due, Collabound may suspend or limit access to paid features.

Support

Collabound provides documentation and support resources for the Services. Support requests may be submitted through the support channels listed in our documentation or Marketplace listing.

Unless a separate written support agreement applies, support is provided on a commercially reasonable basis and does not include any guaranteed response time, uptime commitment, or service level agreement.

Third-Party Services

The Services interoperate with Atlassian products and may use third-party hosting, infrastructure, support, email, monitoring, operational logging, diagnostics, security, and deployment providers. Third-party services are governed by their own terms and policies. Collabound is not responsible for third-party services outside our reasonable control.

Intellectual Property

Collabound and its licensors retain all right, title, and interest in the Services, software, documentation, designs, workflows, trademarks, logos, and other intellectual property, excluding Customer Data. No rights are granted except as expressly stated in these Terms.

Subject to these Terms and your applicable subscription, Collabound grants Customer a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services for Customer's internal business purposes and partner collaboration use cases.

Feedback

If you provide feedback, suggestions, ideas, or recommendations about the Services, you grant Collabound a perpetual, irrevocable, worldwide, royalty-free right to use that feedback without restriction or obligation to you.

Confidentiality

Each party may receive non-public information from the other party that is marked confidential or should reasonably be understood to be confidential. Each party will use the other party's confidential information only to perform under these Terms and will protect it using reasonable care.

Confidentiality obligations do not apply to information that is publicly available, already known without restriction, independently developed, rightfully received from a third party, or required to be disclosed by law.

Disclaimers

For Marketplace orders governed by the Bonterms Standard End User Agreement or another Marketplace agreement, warranty terms and disclaimers are governed by that agreement. For direct use not covered by a Marketplace agreement or separate written agreement, and to the maximum extent permitted by law, the Services are provided "as is" and "as available." Collabound disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and uninterrupted or error-free operation.

Collabound does not warrant that the Services will meet all Customer requirements, that all defects will be corrected, or that the Services will be free from vulnerabilities, interruptions, data loss, or unauthorized access. Customers are responsible for maintaining appropriate backups and administrative controls for their business needs.

Limitation of Liability

For Marketplace orders governed by the Bonterms Standard End User Agreement or another Marketplace agreement, liability limits are governed by that agreement. For direct use not covered by a Marketplace agreement or separate written agreement, and to the maximum extent permitted by law, Collabound will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenues, goodwill, data, business opportunities, or business interruption, whether based on contract, tort, negligence, strict liability, or any other theory.

For direct use not covered by a Marketplace agreement or separate written agreement, and to the maximum extent permitted by law, Collabound's total aggregate liability arising out of or relating to the Services or these Terms will not exceed the amounts paid by Customer to Collabound for the Services giving rise to the claim during the twelve months before the event giving rise to liability, or one hundred US dollars (US$100) if no fees were paid directly to Collabound.

Some jurisdictions do not allow certain exclusions or limitations of liability. In those jurisdictions, the limitations apply only to the maximum extent permitted by law.

Indemnity

For Marketplace orders governed by the Bonterms Standard End User Agreement or another Marketplace agreement, indemnity obligations are governed by that agreement. For direct use not covered by a Marketplace agreement or separate written agreement, Customer will defend, indemnify, and hold harmless Collabound from and against claims, damages, liabilities, losses, costs, and expenses arising from Customer Data, Customer's use of the Services, Customer's sharing of data with partners, Customer's violation of these Terms, or Customer's violation of applicable law or third-party rights.

Suspension and Termination

Customer may stop using the Services or uninstall the app at any time. Collabound may suspend or terminate access to the Services if Customer violates these Terms, creates a security risk, fails to pay applicable fees, uses the Services unlawfully, or if suspension is required by law or by an Atlassian Marketplace process.

Upon termination, Customer's right to access and use the Services ends. Collabound may retain and delete Customer Data according to the Privacy Policy, applicable law, backup processes, and audit retention requirements.

Export Control and Sanctions

You must comply with applicable export control, sanctions, and trade laws. You represent that you are not located in, organized under the laws of, or ordinarily resident in a country or region subject to comprehensive sanctions, and that you are not a restricted party under applicable sanctions or export control laws.

Changes to These Terms

We may update these Terms from time to time. When we make changes, we will update the "Last updated" date above. If changes are material, we may provide additional notice through the Services, email, documentation, Marketplace listing, or other appropriate means. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.

Governing Law

For Marketplace orders governed by the Bonterms Standard End User Agreement or another Marketplace agreement, governing law and venue are governed by that agreement unless provider-specific terms or a separate written agreement state otherwise. For direct use not covered by a Marketplace agreement or separate written agreement, these Terms are governed by the laws specified in the applicable order form or written agreement between Customer and Collabound. If no governing law is specified, these Terms are governed by the laws of the State of New York, United States, without regard to conflict of law rules, and any dispute will be brought in the state or federal courts located in New York, New York, unless applicable law requires otherwise.

General

If any provision of these Terms is held unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force. A failure to enforce any provision is not a waiver of it. Customer may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets. Neither party is liable for delay or failure to perform (other than payment obligations) caused by events beyond its reasonable control. These Terms, together with any applicable Marketplace agreement, order form, or separate written agreement, constitute the entire agreement between the parties regarding the Services.
